BlazeSQL Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "Customer") and Blaze Analytics vGmbH, a company registered in Luxembourg (Registration: B279099, VAT: LU35935057), with its registered office at 23 Boulevard Friedrich Wilhelm Raiffeisen, 2411 Luxembourg ("BlazeSQL," "we," "us," or "our").
By accessing or using the BlazeSQL service, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1. Definitions
"Service" means the BlazeSQL AI-powered SQL analytics platform, including all three deployment models described in Section 3 (Desktop App, Web App, and Database Connection API), along with all related software, documentation, APIs, and updates.
"Customer Data" means any data, content, or information that you submit, upload, or make accessible to the Service, including database schema metadata, chat messages, query results, saved queries, and dashboards.
"AI Output" means any SQL queries, visualizations, summaries, insights, or other content generated by BlazeSQL's artificial intelligence features.
"Account" means an individual user account or, for Team and Enterprise plans, the organizational account and all associated user seats.
"Subscription" means the plan you have selected (Individual, Team, or Enterprise), including its associated features, usage limits, and pricing.
2. Account Registration and Access
2.1 Eligibility
You must be at least 16 years old to use BlazeSQL. By creating an account, you confirm that you meet this requirement.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@blazesql.com if you suspect unauthorized access.
2.3 Team and Enterprise Accounts
If you subscribe to a Team or Enterprise plan, the account administrator controls user access, permissions, and billing. Administrators can invite users, assign roles (read-only or read-write), and remove team members. Single sign-on (SSO) via SAML 2.0 or OpenID Connect is available on Enterprise plans.
2.4 Accuracy of Information
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3. The Service — Deployment Models
BlazeSQL offers three deployment models. Your choice of model affects where your data is processed and stored. See our Privacy Policy for detailed data handling practices per model.
3.1 Desktop App
The desktop application connects directly from your device to your database. Query results are stored locally on your machine and do not pass through BlazeSQL's servers. Schema metadata and chat messages sync to our servers (encrypted) to enable AI query generation.
3.2 Web App
The web application operates from BlazeSQL's cloud infrastructure on Google Cloud Platform (GCP). Database connections are made from a static IP address you can whitelist. Query results, chat history, saved queries, and dashboards are stored server-side (encrypted) to enable collaboration, sharing, and dashboard functionality.
3.3 Database Connection API
The Database Connection API provides the same data isolation as the Desktop App — query results are stored locally on the end user's device and never touch BlazeSQL's servers. Use the API when you need web-based access or embedded analytics with maximum data isolation.
4. Subscriptions, Billing, and Cancellation
4.1 Plans
BlazeSQL offers Individual, Team, and Enterprise plans. Current plan details and pricing are available at blazesql.com/pricing. Enterprise plans include custom terms — contact Enterprise@BlazeSQL.com.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. Payment is processed through Stripe, our third-party payment processor.
4.3 Free Trials
We may offer free trials at our discretion. At the end of a trial, your account will convert to a paid subscription unless you cancel before the trial expires.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, you retain access to the Service until the end of your paid period. After that, your account will be downgraded and your stored data will be retained for 30 days before deletion.
4.5 Changes to Pricing
We may change pricing with at least 30 days' notice. Price changes apply at the start of your next billing cycle following the notice period.
5. License and Acceptable Use
5.1 License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
For Team and Enterprise plans, this license extends to all authorized users within your organization, up to the number of seats included in your subscription.
5.2 Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to build a competing product
- Share your account credentials or allow unauthorized users to access the Service
- Use the Service to violate any applicable law or regulation
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service to transmit malicious code or interfere with Service operation
- Resell, sublicense, or redistribute access to the Service without our written consent
5.3 Usage Limits
Your subscription may include usage limits (query volume, connected databases, user seats). If you exceed these limits, we may ask you to upgrade your plan. We will provide reasonable notice before restricting access due to usage overages.
6. Customer Data
6.1 Ownership
You retain all rights to your Customer Data. BlazeSQL does not claim ownership of any data you submit to the Service.
6.2 License to Us
You grant us a limited license to use your Customer Data solely to provide, maintain, and improve the Service as described in these Terms and our Privacy Policy. This license terminates when you delete your data or close your account.
6.3 Data Processing
We process Customer Data as described in our Privacy Policy. For Enterprise customers, data processing terms may be governed by a separate Data Processing Agreement (DPA).
6.4 No Data Selling or Model Training
We do not sell your data. We do not use Customer Data to train AI models unless you explicitly opt in via a separate written agreement. All AI model calls use Zero Data Retention (ZDR) — your data is not stored by our AI infrastructure provider (Google Vertex AI) and is not used for model training.
6.5 Data Deletion
You can delete individual items (chats, queries, dashboards, results) at any time through the application. Bulk deletion is available through support. Deleting data in BlazeSQL removes it from our storage only — your source database is never modified. See our Privacy Policy for full retention details.
7. Artificial Intelligence — Disclaimers and Limitations
7.1 Nature of AI Output
BlazeSQL uses artificial intelligence to generate SQL queries, visualizations, summaries, and other analytical content based on your natural language questions and your database schema. AI Output is generated programmatically and may contain errors, inaccuracies, or incomplete results.
7.2 No Guarantee of Accuracy
AI Output is provided on an "as-is" basis. BlazeSQL does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI-generated content. You are solely responsible for reviewing, validating, and verifying all AI Output before relying on it or taking action based on it.
7.3 User Responsibility
You acknowledge that:
- AI-generated SQL queries should be reviewed before execution, particularly for write operations (INSERT, UPDATE, DELETE)
- AI-generated visualizations and summaries may misrepresent underlying data
- AI Output should not be the sole basis for business, legal, medical, financial, or other consequential decisions
- You are responsible for any actions taken based on AI Output
7.4 Improving AI Accuracy
You can improve the accuracy of BlazeSQL's AI by providing context about your database, including column descriptions and unique values for categorical columns. See our guide to helping your AI assistant learn for best practices.
7.5 Limitation of Liability for AI Output
BlazeSQL is not liable for any loss, damage, or harm arising from actions taken based on AI-generated content. This includes, without limitation, incorrect query results, data modifications made by executing AI-generated SQL, or business decisions informed by AI-generated analysis.
8. HIPAA and Protected Health Information
8.1 Standard Plans
Standard BlazeSQL plans (Individual and Team) are not designed for use with Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). You must not use standard plans to process, store, or transmit PHI.
8.2 Enterprise Plan with BAA
HIPAA compliance is available exclusively on the Enterprise plan and requires a signed Business Associate Agreement (BAA) between you and BlazeSQL. The BAA defines each party's obligations with respect to PHI and must be executed before any PHI is processed through the Service.

9. Third-Party Subprocessors
9.1 Use of Subprocessors
BlazeSQL uses third-party service providers ("subprocessors") to operate the Service, including cloud infrastructure, payment processing, AI model inference, and customer support. A current list of subprocessors is maintained in our Privacy Policy.
9.2 Subprocessor Liability
While we select subprocessors with care and require appropriate data protection commitments, BlazeSQL is not liable for outages, service disruptions, or data incidents caused by third-party subprocessors to the extent they are outside our reasonable control.
9.3 Changes to Subprocessors
We may update our subprocessor list from time to time. Material changes will be communicated via our Privacy Policy. Enterprise customers with a DPA may receive advance notice as specified in their agreement.
10. International Data Transfers
Your data may be processed in jurisdictions outside your country of residence, including the United States and the European Union. BlazeSQL relies on EU Standard Contractual Clauses (SCCs) and other legally recognized transfer mechanisms to ensure adequate protection for international data transfers. 11. Your Data Rights
BlazeSQL supports the data subject rights established under the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable data protection laws. These include the right to:
- Access your personal data
- Rectify inaccurate data
- Erase your data
- Export your data in a portable format
- Restrict processing of your data
- Object to processing of your data
Requests are fulfilled within 14 days for data export and within 30 days for all other requests, as required by applicable law. To exercise these rights, contact support@blazesql.com or use the self-service options available in the application.

12. Privacy, Cookies, and Tracking
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Our marketing website (blazesql.com) uses cookies for analytics and marketing purposes, managed via Cookiebot. The BlazeSQL product (blazesql.com/app) uses essential cookies only. See our Privacy Policy for full details on cookies and tracking technologies.
13. Intellectual Property
13.1 Our IP
BlazeSQL, its logos, documentation, software, and all related intellectual property are owned by Blaze Analytics vGmbH. Nothing in these Terms grants you rights to our trademarks, branding, or proprietary technology except the limited license in Section 5.
13.2 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
14. Confidentiality
Each party agrees to treat confidential information received from the other party with reasonable care and not to disclose it to third parties except as necessary to perform under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
15. Warranties and Disclaimers
15.1 Our Warranty
We warrant that the Service will perform substantially in accordance with its documentation during your subscription term. If the Service fails to meet this warranty, your exclusive remedy is for us to use commercially reasonable efforts to correct the non-conformity, or, if we cannot do so within a reasonable time, to terminate your subscription and provide a pro-rata refund of prepaid fees for the unused portion.
15.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 15.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of any AI Output (see Section 7).
16. Limitation of Liability
16.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLAZESQL'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16.2 Exclusion of Damages
IN NO EVENT SHALL BLAZESQL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
16.3 Exceptions
The limitations in Sections 16.1 and 16.2 do not apply to:
- Liability arising from gross negligence or willful misconduct
- Breach of data security obligations under these Terms or applicable law
- Your breach of the license restrictions in Section 5.2
16.4 Enterprise Agreements
Enterprise customers with separate agreements may have different liability terms as specified in their Enterprise agreement, which will take precedence over this section to the extent of any conflict.
17. Indemnification
You agree to indemnify, defend, and hold harmless BlazeSQL and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any third-party claim arising from your Customer Data.
18. Suspension and Termination
18.1 Suspension
We may suspend your access to the Service immediately if we reasonably believe: (a) your account is being used in violation of these Terms; (b) your use poses a security risk to the Service or other users; or (c) suspension is required by law. We will make reasonable efforts to notify you before or promptly after suspension.
18.2 Termination by You
You may terminate your account at any time by canceling your subscription and closing your account through the application or by contacting support@blazesql.com.
18.3 Termination by Us
We may terminate your account with 30 days' written notice if you materially breach these Terms and fail to cure the breach within that notice period. We may terminate immediately for violations of Section 5.2 or failure to pay fees after reasonable notice.
18.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export it. After that period, your data will be deleted in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Sections 6.1, 7, 13, 14, 15.2, 16, 17, and 20) will survive.
19. Data Breach Notification
In the event of a security incident affecting your Customer Data, BlazeSQL will notify affected customers without undue delay and in accordance with applicable law, including within 72 hours where required by GDPR Article 33. Our notification will include the nature of the breach, the data affected, measures taken, and recommended steps you can take to protect yourself. See our Privacy Policy for additional details on our incident response procedures.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
20.2 Jurisdiction
Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware. Both parties consent to the personal jurisdiction of those courts.
20.3 EU Consumer Protection
If you are a consumer in the European Union, nothing in these Terms affects your rights under mandatory local consumer protection laws. In such cases, the mandatory provisions of the law of your country of residence shall apply to the extent they override the governing law clause above.
20.4 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting the other party and negotiating in good faith for at least 30 days.
21. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.
22. General Provisions
22.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form or Enterprise agreement, constitute the entire agreement between you and BlazeSQL regarding the Service.
22.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
22.3 Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
22.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
22.5 Force Majeure
Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, strikes, government actions, internet or infrastructure failures, or third-party service outages.

Notices to BlazeSQL should be sent to support@blazesql.com (general) or Enterprise@BlazeSQL.com (enterprise matters). Notices to you will be sent to the email address associated with your account.
